We reserve the right to supplement, vary, amend or update these Terms of Use and the Reap Website at any time, and your continued use of the Reap Website constitutes agreement to all such changes. Use of the Reap Website
Access and use of the Reap Website is subject to these Terms of Use and applicable laws and regulations. You agree to use the Reap Website only for legitimate purposes.
You shall not use the Reap Website:
in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
to send, knowingly receive, upload, download, use or re-use any material published on the Reap Website;
to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation;
to generate and/or cause congestion to our network traffic in excess of reasonable and normal usage;
to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;

All trade marks, service marks and logos displayed, and all information contained, on the Reap Website are the property of Reap, its affiliates and/or the respective third party owners. No licence or right is granted and your access to and use of the Reap Website should not be construed as granting, by implication, estoppel or otherwise, any license or right to use any trade marks, service marks or logos appearing on the Reap Website without the prior written consent of Reap, its affiliates or the relevant third party owners.
Linking to the Reap Website
You may establish a link to the home page of the Reap Website, provided: (a) you do so in a way that is fair and legal and does not damage or take advantage of our reputation; (b) it must not be done in a way as to suggest any form of association, approval or endorsement on our part where none exists; (c) must not be established in a website that is not owned by you. Reap reserves the right to withdraw linking permission without notice.

You acknowledge and agree that Reap has no control over the contents of such third-party websites and resources. In no event shall Reap be responsible for the content and information contained on, or your use of or inability to use, such third-party websites or resources, or be liable for any loss or damage that may arise from your use of such third-party websites or resources.
No Warranty
The information, materials, and products and services mentioned, in the Reap Website are provided “as is” and “as available” without any warranty of any kind either express, implied or statutory, including without limitation, any warranty of accuracy, adequacy or completeness, merchantability, suitability or fitness for a particular purpose, title to, non-infringement of third-party intellectual property rights, freedom from computer virus. We expressly disclaim any warranty that the Reap Website will be error-free or uninterrupted, or that it will be compatible with, or operate in, any computer operating system, network or system configuration, or any other environment.
Limitation of Liability
To the extent permitted by Hong Kong laws, in no event will Reap, our affiliates, or service providers be liable to you for any lost profits, sales, business, or revenue, lost business opportunity, goodwill or reputation, lost anticipated savings, or any direct or indirect, special, incidentary, exemplary, punitive, consequential or any losses or damages whatsoever arising out of or in connection with your access to, use of, or inability to use, the Reap Website or any mentioned products or services, regardless of whether we have been advised of the possibility of such damages or losses and regardless of the form of action, whether in contract, tort (including negligence), breach of statutory duty, warranty or otherwise.
Indemnification
You agree to hold harmless, defend, protect, and indemnify Reap, its affiliates and their respective directors, employees, officers, agents, successors and assigns from and against any and all losses and claims (including any fines, penalties, reasonable attorneys’ fees, court costs and expenses, amounts paid in settlement incurred by Reap arising out of or relating to: (a) your breach of these Terms of Use; (b) your use of the Reap Website; (c) any actual or alleged infringement, violation, or misappropriation of a third party’s intellectual property or proprietary rights; (d) your negligent acts or omissions, fraud or intentional misconduct; or (e) any violation of any applicable laws by you or caused by you. You will cooperate fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to the indemnification by you.
Governing Law and Enforceability
These Terms of Use shall be governed by and construed in accordance with the laws of Hong Kong, without regard to any applicable conflict of law provisions. Except as otherwise stated or agreed between the parties, you agree that all or any claim or dispute you may have against Reap arising out of or in connection with these Terms of Use, including its interpretation, validity or existence, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one, to be appointed by agreement between us. The arbitration proceedings shall be conducted in English. In the event any of the provisions in these Terms of Use is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permission so as to give effect to the intent of these Terms of Use, and the remainer of these Terms shall continue in full force and effect. Except for the Privacy Policy, these Terms of Use constitute the entire agreement between you and Reap with respect to the Reap Website, and supersede all prior communications, understandings, arrangements, or agreements.
