Introduction
These Reap Connect – Platform Terms (“Reap Connect Terms”) supplement the General Terms and govern your access to and use of the Reap Connect Services as a Platform Partner. Subject to these Reap Connect Terms, you may integrate the Reap Connect Services to your platform to (a) enable your Managed Accounts to use the Reap Connect Services through your Manager Account in conjunction with your Platform Services; and (b) make payouts to Payout Recipients. Unless otherwise defined herein, capitalized terms used in these Reap Connect Terms shall have the same meanings given to them in the General Terms. To the extent of any inconsistency between these Reap Connect Terms and the General Terms related to your use of the Reap Connect Services, these Reap Connect Terms shall prevail.
Definitions. In these Reap Connect Terms:
“Activity” means any action, information, instruction, or communication (whether automated or not) taken or given on, or related to, a Managed Account that is initiated, submitted or performed by the Platform Partner or, where applicable, by a Managed Account through the Platform Partner’s integration with the Reap API, or otherwise through the Reap Technology or Reap Connect Services, including those relating to Payment Transactions or interactions regarding the Reap Connect Services.
“Managed Account” means a Reap account established under the Reap Connect Services on behalf of an End-User, via a Platform Partner’s Manager Account.
“Managed Account Data” means any data, content or information relating to a Managed Account and Activity on or relating to a Managed Account, that is collected by Reap or otherwise provided to Reap, including Transaction Data and Personal Data of the Managed Account, its Authorized Users, Personnel and Payout Recipients.
“Managed Account Terms” means the Reap terms that apply to Managed Accounts and govern their use of the Reap Connect Services.
“Manager Account” means a Reap account held by a Platform Partner under the Reap Connect Services, through which one or more Managed Accounts may be established and operated.
“Manager Account Data” means any data, content or information relating to your Manager Account and Activity on or relating to your Manager Account, that is collected by Reap or otherwise provided to Reap, including Transaction Data and Personal Data of you, your Authorized Users and Personnel.
“Payment Transaction” means a Transaction initiated through the Reap Connect Services in which Reap is authorized to: (a) deduct Funds from your or your Managed Account’s Total Balance; and (b) arrange the corresponding Payout to the specified Payout Recipient through its Payout Partners (where applicable), based on the Transaction Data and supporting documents provided by you or your Managed Account.
“Payout Recipient” means a third-party recipient to which you instruct Payouts via the Reap Connect Services.
“Platform Agreement” means, with respect to each Managed Account, the agreement(s) that a Platform Partner has entered into with that Managed Account for the purposes of providing the Platform Services.
“Platform Fees” means the fees you charge your Managed Accounts for the Managed Accounts’ use of your Platform Services.
“Platform Partner” means a platform provider that uses the Reap Connect Services.
“Platform Services” means the products and services that Managed Accounts receive from a Platform Partner, regardless of whether fees are charged.
“Pricing Agreement” means the pricing proposal agreement, or any renewals thereof, between you and Reap which sets out the Service Fees for the Reap Connect Services.
“Reap Connect Services” means: (a) with respect to a Platform Partner, the Services described in these Reap Connect Terms; and (b) with respect to a Managed Account, the Services described in the Managed Account Terms.
“Total Balance” means the Funds you or your Managed Accounts deposit and/or maintain with Reap for the purposes of executing Payment Transactions pursuant to the use of the Reap Connect Services.
Reap Connect Services
Reap Connect Services Description. Reap provides the payment infrastructure, Dashboard and APIs that enable you, as a Platform Partner, to create and operate Managed Accounts under your Manager Account, and to orchestrate all Activity through your integration with the Reap Connect Services. These services include the ability to send Funds to your Total Balance, initiate, instruct and manage Payment Transactions to Payout Recipients, perform related Activity via your Manager Account and/or on behalf of your Managed Accounts, and access other features that Reap may make available to you from time to time. You are solely responsible for initiating, submitting and managing all Activity on or relating to your Manager Account and each Managed Account through your interface integrated with the Reap Connect Services. You authorize Reap to process all such Activity and instructions submitted by you via your integration.
Use of Reap Connect Services. You shall: (a) integrate and make available to your Managed Accounts the Reap Connect Services in accordance with these Reap Connect Terms, and Reap’s APIs and/or technical documentation as provided to you from to time; and (b) use the Reap Connect Services and Managed Account Data in accordance with Applicable Laws and the Platform Agreement.
Your Manager Account. As part of the Reap Connect Services, you may hold and maintain a Total Balance within your Manager Account to facilitate payment activity. You shall (and shall procure your Managed Accounts to do the same where applicable):
ensure that the Total Balance is sufficient to cover all pending and submitted Payment Transactions, applicable Service Fees, and any other amounts owed to Reap;
acknowledge that the Funds maintained in the Total Balance shall not guarantee that Reap is able to complete any and all Payment Transactions;
be solely responsible for any consequences or Liability arising from an insufficient Total Balance, including failed or delayed Payment Transactions and any resulting Losses to your Managed Account; and
authorize Reap to deduct Funds from the Total Balance in accordance with the Transaction Data submitted by you to execute the corresponding Payment Transaction.
Our Obligations. In providing the Reap Connect Services to you, we shall use the Funds received from you or your Managed Accounts and/or in the Total Balance to execute Payment Transactions as instructed subject to these Reap Connect Terms, save that Reap reserves the right to use such Funds to set off any amounts due and owing from you to the fullest extent permitted by Applicable Laws. Reap will notify you of the success, failure, or rejection of a submitted Payment Transaction using a notification system via the Dashboard or API connection. If Reap amends the Managed Account Terms, Reap will notify you of such amendment in accordance with the General Terms and you must notify your Managed Accounts of such amendment.
Your Obligations
Relationship with Reap. You acknowledge and agree that: (a) while you act as the interface between Reap and each Managed Account, Reap maintains a direct contractual relationship with each Managed Account under the Managed Account Terms; (b) Managed Accounts may access and use the Reap Connect Services in accordance with the Managed Account Terms, and may also use other Reap services outside of their relationship with you with respect to the Reap Connect Services; and (c) you are not an agent, employee, or representative of Reap, and have no authority to bind Reap or act on its behalf. You shall not make any statements or representations via your platform interface or otherwise that suggest Reap endorses, guarantees, or assumes responsibility for your Platform Services or any Payment Transactions facilitated through your platform. You must clearly communicate to each Managed Account that Reap operates independently and is solely responsible for the provision of the Reap Technology and Reap services.
Relationship with Managed Accounts. You are solely responsible for obtaining and maintaining valid and enforceable authorization from each Managed Account to create and manage the Reap accounts on their behalf. Reap may, in its sole discretion, refuse to create a Reap account for a Managed Account or limit the functionality available to a Managed Account without providing a reason.
Your Platform Agreement. You shall ensure that your Platform Agreement with each Managed Account:
accurately reflects your role and responsibilities in relation to the Reap Connect Services;
clearly sets out the Platform Services you provide, how you access and use Managed Account Data, and the Activity that you may conduct on behalf of your Managed Accounts via the Reap Connect Services;
expressly authorizes you to operate the Managed Account, access, use, and share with Reap the Managed Account Data, and perform Activity on behalf of the Managed Account; and
acknowledges that Reap is not responsible for any Platform Services you provide to Managed Accounts.
Responsibility for Managed Accounts. You shall ensure that:
each End-User is presented with and accepts the Managed Account Terms before such End-User is onboarded as a Managed Account and gains access to the Reap Connect Services. This acceptance may occur through a Reap-powered onboarding flow or your own onboarding flow. Upon Reap’s request, you must provide evidence that the Managed Account Terms have been accepted by the relevant Managed Account. If Reap determines, in its sole discretion, that your existing acceptance flow does not result in a binding agreement between Reap and each Managed Account, you must, upon Reap’s request, modify your process to meet Reap’s requirements;
you facilitate the collection of and provision to Reap the Managed Account Data required by Reap for the purposes of onboarding, processing Payment Transactions, or compliance reviews. Reap shall review and approve each End-User prior to the establishment of a Managed Account and prior to any Payment Transactions being initiated or accepted from such End-User. You must not initiate or submit any Activity in relation to an End-User until Reap has completed its review and approved such End-User to be onboarded as a Managed Account;
each of your Managed Accounts uses the Reap Connect Services in compliance with all Applicable Laws, the Managed Account Terms, and these Reap Connect Terms. You are solely responsible for monitoring and managing your Managed Accounts’ use of the Reap Connect Services. If you become aware that a Managed Account is engaging in any activity that is illegal, immoral, fraudulent, unauthorized or otherwise unlawful, or in breach of the Managed Account Terms or these Reap Connect Terms, you must immediately notify Reap and fully cooperate with Reap in any investigative or remedial actions to mitigate or eliminate any risk posed to Reap; and
no Managed Account uses the Reap Connect Services to conduct or transact with, or otherwise in connection with, a Restricted Business.
Your Managed Accounts’ Activity. You may perform Activity on behalf of a Managed Account through your integration of the Reap Connect Services into your Platform Services. You are responsible and liable for all Activity initiated by you or your Authorized Users, and for all Activity on or related to your Managed Accounts (whether initiated by you or not). Reap may act on instructions submitted through your Manager Account, and may rely on your representations regarding Managed Account consent and authorization without further verification.
Manager Account Data. You acknowledge and agree that Reap will collect and process Manager Account Data as necessary to provide the Reap Connect Services, operate your Manager Account, and to comply with its legal and regulatory obligations. You authorize Reap to process your Manager Account Data for such purposes in accordance with these Reap Connect Terms and Reap’s Privacy Policy. You shall ensure that any Manager Account Data you provide to Reap is complete, accurate, truthful, and provided in compliance with Applicable Laws. You represent and warrant at all times that, to the extent you provide Personal Data to Reap, you have provided all notices and obtained all rights and consents necessary to enable Reap to lawfully collect, use, retain and disclose that Personal Data as described in these Reap Connect Terms and Reap’s Privacy Policy.
Transaction Data. You shall ensure that all Transaction Data submitted to Reap is complete, accurate, truthful, and properly authorized by the relevant Managed Account (where applicable). You acknowledge that Reap will process Payment Transactions based solely on the instructions and information provided by you and/or your Managed Account, and may withhold processing or completion of a Payment Transaction, pending satisfactory provision of the required information and supporting documents and completion of any review requests.
Returns, Refunds and Withdrawals. You acknowledge that refunds, returns and withdrawals of Funds from your Manager Account or any Managed Account are subject to Reap’s standard operating procedures, Applicable Laws, and these Reap Connect Terms. If a Payment Transaction is unsuccessful, rejected, reversed, or refunded for any reason, Reap may credit the relevant Funds back to your Manager Account or the applicable Managed Account. Subject to any verification and compliance requirements, Reap may return Funds to an external wallet or bank account designated by you (which may include a wallet or account owned by the applicable Managed Account), provided that such withdrawal has been properly authorized and instructed through your integration with the Reap Connect Services. Reap may decline to process any refund or withdrawal if it determines, in its sole discretion, that doing so would violate Applicable Laws, pose unacceptable risk, or if required information is incomplete. You are responsible for all fees associated with any such refunds or withdrawals, and must ensure that your Platform Agreement with Managed Accounts clearly communicates any applicable fees or conditions for refunds or withdrawals. You are solely responsible for handling all Managed Accounts inquiries or disputed associated to refunds or withdrawals.
Limitations. You must not use the Reap Connect Services: (a) to access any Managed Account Data or conduct any Activity, or attempt to do either, for which the relevant Managed Account has not authorized, or has withdrawn the authorization; or (b) to circumvent any intended limitations of the Reap Connect Services or in a manner inconsistent with Reap APIs and/or technical documentation.
Fees; Taxes
The applicable Service Fees for the use of the Reap Connect Services are set out in the Pricing Agreement.
You may set and determine the Platform Fees to be charged to your Managed Accounts for the Platform Services you provide to them, in accordance with your Platform Agreement. You must clearly and prominently disclose all Platform Fees to your Managed Accounts. Reap shall not be responsible for the assessment or enforcement of any such fees. You shall not represent to any Managed Account that Reap determines or controls the fees you charge to your Managed Accounts, or is responsible for collecting Platform Fees other than as instructed by you via your integration with the Reap Connection Services (where applicable).
Tax. You are solely responsible for determining, assessing, collecting, reporting, and remitting all applicable Taxes, including any relevant fines, penalties, tariffs and associated liabilities, imposed by any tax authority in connection with your use of the Reap Connect Services and/or the Payment Transactions, including Taxes associated with any amounts you charge to or receive from your Managed Accounts. Reap shall not be responsible for determining whether any Taxes apply, or for calculating, collecting, reporting, or remitting any such Taxes on behalf of you or your Managed Accounts.
Limitation Of Services; Disclaimer; Limitation Of Liability
In addition to Reap’s rights under the General Terms, you acknowledge and agree that Reap may, in its sole discretion and without liability to you, suspend, reject, delay, cancel, void or reverse any Payment Transaction submitted through the Reap Connect Services (whether initiated by you or your Managed Accounts) for any reason, including: (a) if you fail to provide us in a timely manner any required or requested information and supporting documents, or where such information or Managed Account Data is false, incomplete or inaccurate as determined by Reap; (b) the Payment Transaction falls into a prohibited or high-risk category as determined by Reap; (c) the Total Balance is insufficient to complete the Payment Transaction; or (d) if Reap reasonably suspects that a Payment Transaction is potentially connected to any illegal, immoral, fraudulent, unauthorized or otherwise unlawful activities.
Reap is not responsible for and disclaims all Liability arising from or relating to:
any Losses arising from incomplete, inaccurate, delayed or false information, supporting documents or Managed Account Data provided by you or your Managed Accounts;
any Losses arising from a rejected, reversed, delayed, refunded or uncompleted Payment Transaction, including any fees or penalties, interest charges, or third-party claims;
the provision, delivery, condition or performance of any goods or services associated with a Payment Transaction;
any payment obligations to the Payout Recipients and any associated disputes which may arise between you and the Payout Recipients.
This section is in addition to, and does not limit, the provisions of the General Terms that disclaim or limit Reap’s liability.
You acknowledge that your use of Reap Connect Services does not establish or construe an agency relationship between you or your Managed Accounts and Reap, and that Reap has no contractual relationship with the Payout Recipients. You are solely responsible for, and Reap expressly disclaims all Liability for, your compliance with Applicable Laws related to your payment obligations.
To the fullest extent permitted by Applicable Laws, Reap makes no guarantees or representations with respect to the amount of time needed to complete a Payment Transaction or that it will complete a Payment Transaction to your Payout Recipient.
Indemnification
You and each Managed Account shall be jointly and severally liable to Reap for all amounts due in connection with the use of the Reap Connect Services, including: (a) Payment Transactions submitted via the Reap Connect Services; (b) any failed or rejected payments, refunds, chargebacks, or reversals; (c) any fees or charges incurred; and (d) any penalties or Losses arising from non-compliance with Applicable Laws or these Reap Connect Terms. Reap shall be entitled, in its sole discretion, to seek recovery of any such amounts from you in the first instance, without the need to pursue any Managed Account. If Reap is unable to recover any such amounts directly from the relevant Managed Account, you agree that Reap may, at its sole discretion, recover the full amount from you. Where either Reap or a Managed Account incurs any Losses based on unauthorized Activity initiated by you or on your behalf, then as between Reap and you, you are liable for such Losses.
You shall indemnify, defend, and hold harmless Reap, its Third-Party Providers, and their respective Personnel from and against all Losses incurred or suffered in connection with arising from:
any failure by you or your Managed Accounts to comply with these Reap Connect Terms, the Managed Account Terms, or Applicable Laws;
any misuse or unauthorized access of the Reap Connect Services;
any false, incomplete, or inaccurate information or Managed Account Data submitted directly by you or on behalf of your Managed Accounts; or
Reap’s inability to enforce its rights against your Managed Account due to your failure to properly obtain acceptance to the Managed Account Terms in accordance with these Reap Connect Terms.
Termination
These Reap Connect Terms are effective upon the date you first access or use the Reap Connect Services and continue until expiration of the applicable Pricing Agreement, or until terminated by you or by Reap in accordance with this Section 7.1. You may terminate these Reap Connect Terms by providing Reap with thirty (30) days’ prior written notice. Reap may at any time, and without liability to you, terminate these Reap Connect Terms, or suspend or terminate your access to the Reap Connect Services by notifying you, for the reasons set forth in Section 5.2 of the General Terms.
