These Terms and Conditions ("T&Cs") govern the YC Incentive Campaign organized by Reap Technologies Limited ("Reap"). By participating in the Campaign, each participant agrees to be bound by these T&Cs.
Definitions
a. For the purposes of this Campaign and T&Cs:
"Cashback" means the promotional service credits awarded under the Campaign. Cashback rewards are processed on a monthly cycle: where an Eligible Customer satisfies a qualifying condition during a given calendar month, the corresponding Cashback shall be credited to the Eligible Customer's account by the end of that same calendar month, or within a reasonable period thereafter as determined by Reap.
"Eligible Customer" means a user who:
1. Is a current or alumni company of Y Combinator; AND
2. Signs up for Reap Direct during the Campaign Period after visiting the designated campaign page.
Users who do not meet both criteria shall not be considered as Eligible Customers for the purposes of this Campaign.
"Reap Direct" means the suite of services offered by Reap accessible at https://reap.global/products/reap-direct.
"Reap Card" means the corporate payment card service offered by Reap that enables card-based business spend and funding of transactions conducted through Reap Direct.
"KYB Approval Date" means the date on which the Eligible Customer's Know Your Business (KYB) verification is completed and approved by Reap.
"Eligible Deposit" means the aggregate value of stablecoin deposits (USDC or USDT) made by an Eligible Customer to their Reap Direct account during the relevant qualifying period.
"Eligible Spend" means the aggregate value of transactions made via Reap Card service by an Eligible Customer during the relevant qualifying period. Eligible Spend shall exclude:
1. any transaction that is not funded or processed through Reap Card;
2. any transaction that is subsequently cancelled, voided, refunded, reversed, or disputed;
3. any transaction that is suspected or proven to be fraudulent, or otherwise invalid; and
4. any transaction that, in Reap's sole discretion, does not constitute a bona fide business expense.
Phase 1 — Welcome Bonus
Activation Bonus
1. Eligibility: To qualify for the Activation Bonus, an Eligible Customer must make an Eligible Deposit of no less than US$10,000 within fourteen (14) calendar days from the KYB Approval Date.
2. Cashback Reward: Upon the satisfaction of the aforementioned eligibility requirement, the Eligible Customer shall be entitled to a fixed Cashback of US$100.
3. Limitation: Each Eligible Customer may qualify for the Activation Bonus once only.
Early Usage Cashback
1. Eligibility: To qualify for the Early Usage Cashback, an Eligible Customer must incur a minimum Eligible Spend of US$5,000 within thirty (30) calendar days from the KYB Approval Date.
2. Cashback Reward: Upon the satisfaction of the aforementioned eligibility requirement, the Eligible Customer shall be entitled to a Cashback of 10% of their total Eligible Spend during the qualifying period, up to a maximum of US$500.
3. Limitation: Each Eligible Customer may qualify for the Early Usage Cashback once only.
Growth Bonus
1. Eligibility: To qualify for the Growth Bonus, an Eligible Customer must incur a minimum Eligible Spend of US$50,000 within sixty (60) calendar days from the KYB Approval Date.
2. Cashback Reward: Upon the satisfaction of the aforementioned eligibility requirement, the Eligible Customer shall be entitled to a Cashback of 5% of their total Eligible Spend during the qualifying period, up to a maximum of US$2,500.
3. Limitation: Each Eligible Customer may qualify for the Growth Bonus once only.
Phase 2 — Loyalty Program
Ongoing Cashback
1. Eligibility: To qualify for the Ongoing Cashback, an Eligible Customer must incur a minimum Eligible Spend of US$120,000 within ninety (90) calendar days from the KYB Approval Date.
2. Cashback Reward: Upon the satisfaction of the aforementioned eligibility requirement, the Eligible Customer shall be entitled to a Cashback of 2% of their total Eligible Spend during the qualifying period, up to a maximum of US$2,400.
3. Limitation: Each Eligible Customer may qualify for the Ongoing Cashback once only.
Scale Bonus
1. Eligibility: To qualify for the Scale Bonus, an Eligible Customer must incur a minimum Eligible Spend of US$500,000 within one hundred and eighty (180) calendar days from the KYB Approval Date.
2. Cashback Reward: Upon the satisfaction of the aforementioned eligibility requirement, the Eligible Customer shall be entitled to a Cashback of 1% of their total Eligible Spend during the qualifying period, up to a maximum of US$5,000.
3. Limitation: Each Eligible Customer may qualify for the Scale Bonus once only.
Reward Stacking
1. All five Cashback tiers (Activation Bonus, Early Usage Cashback, Growth Bonus, Ongoing Cashback, and Scale Bonus) are independent and additive. An Eligible Customer who meets all five qualifying conditions shall be entitled to the cumulative total of all applicable Cashback rewards, up to a maximum combined value of US$10,500.
2. Phase 1 and Phase 2 rewards are assessed independently. Phase 2 rewards are earned on top of any Phase 1 rewards already received.
3. Each tier is assessed independently against the qualifying conditions specified above.
General
1. Reap reserves the right to verify all Campaign eligibility, spending and deposit activity. Any determination made by Reap in relation to the Campaign shall be final and binding, absent any manifest error.
2. Reap reserves the right to revise, extend, suspend, or terminate the Campaign or these T&Cs at any time without prior notice and without any liability. In the event of any dispute, the decision of Reap shall be final and binding and no correspondence or appeal will be entertained.
3. The Cashback awarded shall constitute the sole and exclusive benefit, payment or consideration that any Eligible Customer shall be entitled to receive in connection with their participation in this Campaign. No other fees, commissions, compensation or other forms of benefit shall be provided by Reap. To the maximum extent permitted by law, Reap shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation any loss of profits, business opportunities, or goodwill, arising out of or in connection with this Campaign.
4. Eligible Customers acknowledge and agree that they shall not be entitled to any payment, compensation, or replacement benefit whatsoever in respect of any such revision, suspension, termination, cancellation, withdrawal, or invalidation of any Cashback rewards.
5. "Reap" and the Reap logo are trademarks of Reap Technologies Limited. All other names, logos, and trademarks mentioned in connection with this Campaign are the property of their respective owners. Nothing in these Terms and Conditions shall be construed as granting any licence or right to use any of Reap's trademarks without the prior written consent of Reap.
6. These T&Cs shall supplement, and be read in conjunction with, the relevant Terms of Use, Master Services Agreement or any other service agreements you may have with Reap. In the event of any conflict or inconsistency between these T&Cs and the Master Services Agreement or any service agreements, these T&Cs shall prevail to the extent that such conflict or inconsistency relates to this Campaign. For the avoidance of doubt, all other terms of the Terms of Use and Master Services Agreement shall remain in full force and effect.
7. Each Eligible Customer shall be solely responsible for any tax obligations arising from the receipt or use of Cashback rewards.
8. Headings are for convenience only and shall not affect the interpretation of these T&Cs.
9. These Terms and Conditions shall be governed by and construed in accordance with the laws of Hong Kong SAR.
